Terms of service

These Terms of Service (the "Terms") are a binding agreement between you and Numio, LLC ("Numio," "we," "us," or "our") governing your access to and use of the Numio platform, websites, and related services (together, the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

1. The service

Numio lets you import a spreadsheet model, choose which cells become inputs and results, assemble interactive blocks, and publish the result as a web calculator you can share by link or embed on your own sites. Depending on your plan, the Service also includes lead capture, response collection, analytics, branding controls, workspaces, and team collaboration. We may update, improve, or change features over time.

2. Accounts and workspaces

  • You must provide accurate account information and keep it current.
  • You are responsible for safeguarding your credentials and for all activity under your account.
  • Workspaces may have multiple members with different roles. The workspace owner is responsible for managing members, permissions, and seats, and for the actions of its members.
  • You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

3. Plans, trials, and billing

  • Paid plans (currently Starter, Professional, and Business) are billed in advance on a monthly or annual basis at the rates shown at the time of purchase. Enterprise and custom arrangements are governed by a separate order form.
  • Trials, where offered, convert to a paid subscription at the end of the trial period unless you cancel before it ends.
  • Subscriptions renew automatically for the same term until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period.
  • Fees are exclusive of taxes, which you are responsible for. Except where required by law or expressly stated, payments are non-refundable, including for partial periods and unused seats.
  • Adding seats or changing plans mid-term may result in prorated charges. We may change pricing on renewal with reasonable notice.

4. Acceptable use

You agree not to, and not to permit anyone to:

  • use the Service in violation of any law or third-party right;
  • upload or distribute malware, or attempt to disrupt, probe, or gain unauthorized access to the Service;
  • reverse engineer, resell, or create a competing product from the Service except as permitted by law;
  • use the Service to collect sensitive personal data without an appropriate lawful basis and notices;
  • send spam, or use lead-capture features to contact people without a lawful basis to do so;
  • misrepresent calculator results in a deceptive or harmful way, or publish unlawful content.

5. Your content and customer data

You retain all rights in the spreadsheets, formulas, text, images, projects, and other materials you upload or create ("Your Content"). You grant Numio a worldwide, non-exclusive license to host, process, display, and transmit Your Content solely to provide and improve the Service.

When your published projects collect submissions from your visitors — including lead-form entries and other responses ("Customer Data") — you are the controller of that data and Numio processes it on your behalf. You are responsible for providing the privacy notices, consents, and lawful bases required to collect it, and for handling requests from the individuals it concerns. Our handling of personal data is described in our Privacy Policy.

You are solely responsible for the accuracy of your models and the results your calculators produce. Numio computes outputs from the inputs and formulas you provide; it does not validate the correctness of your models or any decision made based on them.

6. Publishing and embedding

You may publish projects and embed them on sites you control. You are responsible for those sites and for ensuring your use of embedded projects complies with these Terms and applicable law. Some plans allow removing Numio branding; where branding is included, you agree not to remove or obscure it except through the features we provide.

7. Intellectual property

The Service, including its software, design, and trademarks, is owned by Numio and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in the Service. Feedback you choose to provide may be used by us without restriction or obligation to you.

8. Third-party materials and services

The Service may let you import from or interact with third-party tools (for example, Excel or Google Sheets files, payment processing, or analytics). Your use of third-party services is governed by their terms, and we are not responsible for them.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that calculator outputs will meet your requirements.

10. Limitation of liability

To the maximum extent permitted by law, Numio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to these Terms or the Service will not exceed the amounts you paid to Numio for the Service in the twelve months before the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold Numio harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your Customer Data, or your use of the Service in violation of these Terms or applicable law.

12. Term, suspension, and termination

These Terms apply while you use the Service. We may suspend or terminate access if you breach these Terms, fail to pay, or create risk or legal exposure for us or others. You may stop using the Service and cancel at any time. On termination, your right to use the Service ends; we may delete your data after a reasonable period, so export anything you wish to keep before your account closes.

13. Changes to the service or these terms

We may modify the Service and these Terms from time to time. If we make material changes to the Terms, we will provide reasonable notice (for example, by email or in-product). Your continued use after changes take effect constitutes acceptance.

14. Governing law and disputes

These Terms are governed by the laws of the State of [GOVERNING-LAW STATE], without regard to its conflict-of-laws rules. The state and federal courts located in [COUNTY, STATE] will have exclusive jurisdiction over any dispute that is not subject to a separate written agreement between you and Numio.
